A board observer is someone who is permitted to attend and participate in meetings of a corporation's board of directors, as well as to receive information provided to the board, but who is not permitted to vote as part of the board. Venture capital investors may insist on having a board observer, who is often an associate of the firm, as a condition of investing in a startup.
