Definition of Business Judgment Rule

The business judgment rule creates a presumption that limits courts in questioning the wisdom of business decisions made by a corporation's managers. This ensures that fiduciaries, like a corporation's directors and officers, won't be held liable for breaches of the duty of care simply because a decision they made didn't pan out so long as the decision making process was appropriate.
