Definition of Irrevocable Proxy

An irrevocable proxy is a type of proxy where the person giving the proxy cannot revoke or change their instructions to the proxy holder. Once the proxy is given, the proxy holder has the authority to vote or act on behalf of the person giving the proxy in accordance with the instructions provided, regardless of any change in the wishes of the person giving the proxy.
