A management rights letter is a statement from a startup describing its investor's rights to review and influence how the startup operates. These rights can include rights to financial statements, to attend board meetings, and to advise the company. While these can seem like overreach, in reality they are often calibrated to ensure that investors can comply with ERISA requirements, and are not problematic for the startup.
