Definition of Overhang

Overhang refers to a situation when the amount of the liquidation preference held by a startup's investors is equal to or more than the value of the company. Hence, if the startup were sold, the investors would be entitled to receive all the proceeds from the sale, and so this "overhang" means that the founders and other common stockholders (e.g., employees) would get nothing in the sale.
