Definition of Secondary Sale

A secondary sale is when a startup shareholder (often one of the founders, an early employee, or an early investor) sells shares to another buyer. This differs from a primary sale where the startup issues new shares to investors in exchange for money invested into the startup. The purpose of a secondary sale is to provide liquidity for shareholders, not raise money for the startup.
